Welcome to Zoftor. These Terms of Service (“Terms”) govern your access to and use of the Zoftor website located at www.zoftor.com (the “Site”), along with any products, services, software, or content provided by Zoftor (collectively, the “Services”).

These Terms apply whether you are using the Services as an individual consumer (“Consumer”) or on behalf of a business entity (“Business User”).

1. Use of Services

Eligibility

You must be at least 18 years of age to access or use the Site and Services.

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Zoftor immediately of any unauthorized use or suspected security breach.

Acceptable Use

You agree not to use the Services:

• For fraudulent, unlawful, or deceptive activities
• To harass, abuse, or harm other users
• To interfere with or attempt to bypass the security or integrity of the Site or Services

Zoftor reserves the right to suspend or terminate access for violations of these Terms.

2. Payments, Refunds, and Cancellations

Pricing

All prices are subject to change at any time. For subscription-based services, you will be notified of any pricing changes prior to renewal.

Refunds

Refunds and returns are governed by Zoftor’s Refund & Cancellation Policy, which is incorporated into these Terms by reference.

Cancellations

You may cancel your subscription or account at any time through your account settings or by contacting support@zoftor.com. Cancellation does not automatically entitle you to a refund unless expressly stated in the applicable refund policy.

3. Intellectual Property Rights

All content, features, and functionality of the Site—including but not limited to software, text, graphics, logos, and trademarks—are owned by Zoftor or its licensors and are protected by applicable intellectual property laws.

Limited License

Zoftor grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Site and Services for personal or internal business purposes only.

User Content

If you submit, post, or upload content to the Site, you grant Zoftor a worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating, maintaining, and improving the Services.

4. Consumer Rights (B2C)

If you are a Consumer located in a jurisdiction that provides mandatory consumer protections (such as the European Union or California), you may have certain rights that cannot be waived or limited by contract. Nothing in these Terms is intended to exclude or restrict those statutory rights.

5. Limitation of Liability

To the maximum extent permitted by applicable law:

Business Users

Zoftor’s total liability for any claim arising out of or related to the Services or these Terms shall not exceed the total amount paid by you to Zoftor in the 12 months preceding the claim.

Consumers

Zoftor is responsible for losses or damages that are a foreseeable result of our breach of these Terms or failure to exercise reasonable care and skill. Zoftor is not responsible for losses or damages that are not reasonably foreseeable.

6. Indemnification

You agree to indemnify, defend, and hold harmless Zoftor, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms or misuse of the Services.

7. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict-of-law principles.

Informal Resolution

Before initiating any formal legal action, you agree to attempt to resolve disputes informally by contacting support@zoftor.com.

Jurisdiction

Any legal proceedings shall be brought exclusively in the state or federal courts located in King County, Washington.

8. Changes to These Terms

Zoftor reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Site. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
